1. Agreement to Terms
By accessing or using DocketBEO ("the Service," "we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
DocketBEO is a software-as-a-service platform providing private event management tools for restaurants, private clubs, and venues, including but not limited to: event scheduling, Banquet Event Order (BEO) generation, client communication portals, team messaging, invoicing, and related features.
3. Accounts
- You must provide accurate, current information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must notify us promptly of any unauthorized use of your account.
- Accounts may be created for a business entity, with designated roles (e.g., Owner, Management, Team Member) governing permissions within the Service.
4. Subscription Plans & Billing
- The Service is offered under multiple subscription tiers (Starter, Studio, Group, Enterprise), each with associated features, limits, and pricing as described on our website.
- Subscriptions are billed monthly or annually, as selected at signup.
- Free trials, where offered, convert automatically to a paid subscription at the end of the trial period unless canceled beforehand. Payment method on file will be charged automatically at that time.
- We reserve the right to change subscription pricing. Customers with active accounts at the time of a price change will retain their existing rate ("legacy pricing") for the duration of their continuous subscription, as further described at signup or in account settings.
- All fees are exclusive of applicable taxes, which will be calculated and collected as required by law.
- Refunds, if any, are governed by our refund policy as stated at checkout or provided separately.
5. Referral Program
- DocketBEO may offer a referral rewards program allowing customers to earn account credit for successful referrals, subject to separate program terms made available within the Service.
- We reserve the right to modify or discontinue the referral program, or to deny or claw back rewards obtained through fraud, abuse, or violation of these Terms.
6. Client Data & Content
- You retain ownership of the data, content, and information you submit to the Service ("Customer Data"), including event details, client communications, and BEOs.
- You grant us a limited license to host, store, process, and display Customer Data solely as necessary to provide the Service.
- You are responsible for ensuring you have the necessary rights and permissions to submit any data (including your own clients' personal information) into the Service.
- Upon account termination, we will retain Customer Data for a limited period as described in our Privacy Policy, after which it may be deleted.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation
- Attempt to gain unauthorized access to any portion of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Upload malicious code or content that infringes on the rights of others
- Use the Service to harass, defraud, or harm any third party, including event clients
8. Client Portal Access
- Certain features allow your clients to access a portal to view event details, confirm counts, select menu items, and make payments.
- You are responsible for the accuracy of information shared with clients through the portal and for informing clients of any relevant policies governing their participation.
- We are not a party to the underlying agreement between you and your clients.
9. Intellectual Property
- The Service, including its software, design, and branding, is owned by DocketBEO and protected by applicable intellectual property laws.
- These Terms do not grant you any rights to our trademarks, logos, or brand assets except as necessary to use the Service as intended.
10. Termination
- You may cancel your subscription at any time through account settings.
- We may suspend or terminate access to the Service for violation of these Terms, non-payment, or other reasonable business cause, with notice where practicable.
- Upon termination, your right to access the Service ceases, though certain provisions of these Terms (data retention, liability limitations, etc.) survive termination.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
12. Limitation of Liability
To the maximum extent permitted by law, DocketBEO shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including lost profits or lost data, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless DocketBEO from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party (including your clients).
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New York.
